Terms of service

These terms are between Mintdesignsuk Ltd (company number 12572302, registered at 27 Old Gloucester Street, London WC1N 3AX), which runs Chivvy ("we", "us"), and the practice that signs up ("you"). Chivvy is for businesses, not consumers. By creating an account or starting a plan, you agree to these terms on behalf of your practice, and to the data processing agreement, which forms part of them.

1. What Chivvy does

Chivvy reads your clients' Xero organisations for transactions and bills with nothing attached and for bank statements you ask for, emails your clients from your practice's address once you've approved what to ask for, checks what they upload, and attaches it in Xero. You decide what goes to your clients. Chivvy doesn't give accounting, tax or legal advice, and you stay responsible for your clients' books.

2. Your account and team

  • Give accurate details, and keep your sign-in details to yourself.
  • You're responsible for what people you invite do in your account.
  • Tell us straight away at hello@chivvy.io if you think someone has got into your account.

3. Your clients and your data

  • You confirm you're allowed to connect your clients' Xero organisations, to give us their contact details, and to email them about their records.
  • You own your data and your clients' data. We use it only to run Chivvy for you, as set out in the data processing agreement.
  • You only send emails through Chivvy from a domain you're entitled to use, and only to your own clients about their records.
  • Don't use Chivvy for anything unlawful, to send unsolicited marketing, or to upload anything harmful.

4. Xero and other services

Chivvy works with Xero through Xero's API, under your Xero permissions. If Xero changes or withdraws its API, parts of Chivvy may stop working until we can adapt, and we'll tell you if that happens. Your use of Xero is under your own agreement with Xero.

5. Automatic checks

Uploaded documents are read automatically to check them against Xero. These checks are usually right but not always. Anything that doesn't match comes to you to look at, and you can send anything back to your client. Uploaded documents are never used to train AI models.

6. Plans, trials and payment

  • Plans are priced by the number of items Chivvy collects for you each month, as shown in the app when you choose one. Clients and team members are unlimited on every plan.
  • New practices get a 14-day free trial. A card is needed to start it. If you don't cancel before it ends, your plan starts and is charged.
  • Plans are paid monthly in advance by card, through Stripe. Prices don't currently include VAT because we aren't VAT registered. If that changes, VAT will be added at the rate that applies.
  • If you collect more or less than your plan covers for two months running, we move you to the plan that fits from your next billing date. We tell you at least 7 days before. We never stop Chivvy working because you went over.
  • Founding practices keep their founding price for as long as they stay on Chivvy without a break.
  • Assistant credits are paid in advance, don't expire while your account is open, and aren't refundable.
  • If a payment fails, Stripe will try again and we'll email you. If it still isn't paid after that, we may pause chasing until it is.

7. Cancelling

You can cancel at any time from Settings → Billing. Your plan runs to the end of the month you've paid for, then stops. We don't refund part months. After you leave, you can ask for an export of your data within 30 days, and we delete it as set out in the data processing agreement.

8. Keeping Chivvy running

We aim to keep Chivvy available and to fix problems quickly, but we can't promise it will never be interrupted, for example during maintenance or if a provider we rely on has a problem. We may improve or change Chivvy over time. If a change takes away something you rely on, we'll tell you at least 30 days before, and you can cancel.

9. Confidentiality

We each keep the other's confidential information private and use it only for the purposes of this agreement. This doesn't cover anything already public, or anything the law requires to be shared.

10. Liability

  • Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn't allow to be limited.
  • Neither of us is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data that could have been avoided by reasonable backups.
  • Otherwise, our total liability in any 12 months is limited to the fees you paid us in the 12 months before the claim.

11. Ending the agreement

Either of us can end this agreement straight away if the other seriously breaks it and doesn't put it right within 14 days of being asked, or becomes insolvent. We can also end it with 30 days' notice for any reason, and refund any fees paid for time after it ends.

12. Changes to these terms

We may update these terms. We'll email you at least 30 days before a change that affects you, unless the law requires it sooner. If you keep using Chivvy after that, the new terms apply. If you don't agree, you can cancel before they start.

13. General

  • These terms, the data processing agreement and the plan you choose are the whole agreement between us about Chivvy.
  • If part of these terms can't be enforced, the rest still applies.
  • These terms are governed by the law of England and Wales, and the courts of England and Wales deal with any dispute.
  • Questions: hello@chivvy.io.
